WGB Industries Inc. makes all quotations and sells castings and parts upon the following terms and conditions:
I. WGB Industries Inc. sells all castings as unmachined castings, with heads, gates, fins and similar extraneous metal removed, F.O.B. WGB Industries Inc. Terms
– net thirty (30) days from invoice date, unless otherwise stated. If, in WGB Industries Inc.’s sole judgment, the financial condition of the customer does not justify
continuation of production or shipment on the terms specified herein, WGB Industries Inc. may cancel any unfulfilled orders from the customer of castings or parts
thereof and/ or may require immediate payment for all goods delivered and/or full or partial payment in advance for all goods not delivered at WGB Industries lnc.
sole option. In the event the customer fails to pay any invoice of WGB Industries Inc. when due, WGB Industries Inc. will have the right to retain all of the customers
patterns in WGB Industries Inc.’s possessions and to use or sell the same to liquidate the debt. A charge of the lower of 1-1/2% per month or the highest legal rate
will apply to all invoices exceeding WGB Industries Inc.’s net thirty (30) day terms.
2. The customer must take any claims for error in weight or number within twenty (20) days after the receipt of castings and parts.
3. WGB Industries Inc. is responsible for the replacement of castings rejected due to foundry defects and such castings must be reported and return to WGB
Industries Inc. within (30) days after the receipt. When WGB Industries Inc. allows credit for defective castings returned WGB Industries Inc. will make no allowance
for machine work or for anything other than the price per pound at which castings were originally invoiced. WGB Industries Inc. is not responsible for machine
work, welding, labor changes or other losses or damages caused by defective castings or parts unless otherwise agreed in writing.
4. WGB Industries Inc. is not responsible for loss of or damage to patterns by fire or other casualties beyond its control.
5. WGB Industries Inc. will not be liable in damages for failure to deliver because of fires, strikes, and differences with employees, accidents or other causes beyond
its control.
6. These terms and conditions will take precedence over any term, provision, or condition conflicting with the same contained in any order, inquiry, or other
correspondence between the customer and WGB Industries Inc.
7. WGB Industries Inc. will deliver all castings and parts sold by WGB Industries Inc. directly to the customer for inspection. If at the customer’s written request
WGB Industries Inc. delivers the castings and parts anywhere else, WGB Industries Inc. cannot be held liable for any defects if any other work has begun on said
castings and parts.
8. WGB Industries Inc. reserves the right to add surcharges to incoming customer purchase orders for increase in material, such as aluminum ingot. These
surcharges may apply if aluminum ingot prices rise greater THAN 6% (six percent) from previous year’s average. WGB Industries Inc. will inform the customer of
this surcharge prior to beginning work by the means of our order acknowledgement.
9. Customer shall be responsible for any national, state or local sales, use, value added or other tax, tariff, duty or assessment levied or imposed by the United
States or any foreign governmental authority arising out of or related to the transactions contemplated by this Agreement, other than taxes based upon WGB
Industries Inc.’s income. Customer may pay directly, or reimburse WGB Industries Inc., for the amount of such sales, use, value added or other tax, tariff, duty or
assessment which WGB Industries Inc. is at any time obligated to pay or collect.
10. WGB Industries Inc. operates as a normal commercial sand caster. This means WGB Industries Inc. produces normal commercial castings that are under
relatively low stress in nonstructural applications. WGB Industries Inc. buys and melts a certified grade of aluminum alloy. Due to WGB Industries Inc.’s melting
process, WGB Industries Inc. is not able to guarantee exact chemical composition. Therefore, WGB Industries Inc. cannot be held liable for casting failure due to
chemical analysis.
11. WGB Industries Inc. will not give credit for castings that have minor surface blemishes, unless a prior written agreement between WGB Industries Inc. and the
customer exists. Castings are made from pouring aluminum into sand molds. During this process minor sand inclusions may appear on some casting surfaces. WGB Industries Inc. reserves the right to make judgment on said surface blemishes.
12. Castings may have internal inclusions that visual inspection cannot detect. Therefore, WGB Industries Inc. cannot be responsible for castings with internal
inclusions, such as, but not limited to, micro shrinkage, dross, hydrogen, core shift or core breakage, unless customer is willing to pay for X-ray, radiographic testing
or applicable testing fixtures.
13. WGB Industries Inc.’s casting tolerances are +/-.030 inch for the first inch and +/-.003 per additional inch.
14. WGB Industries Inc. guarantees flatness .015 inch per inch of length.
15. Additional tolerances may apply to cored areas.
16. Blue prints submitted for estimating purposes should be marked with rough casting weight, if known, or an estimated weight upon which quotation will be
based. A detailed description of the pattern equipment should be furnished, if available.
17. When quotations involve the making of piece prices, definite weights will be established and agreed upon, and quotations will be subject to revision on any
variation from the established weights.
18. Unless otherwise specified by WGB Industries Inc., quotations are based on castings with gates, fins and other projections removed to approximately the
contour of the pattern.
19. No order will be changed unless notice of revision is made and accepted in writing before work is in process. If work is in process the customer is to be charged
for any parts made and costs of cores, molds or equipment discarded because of such changes.
20. Cancellations of orders are to be made only by mutual consent of the customer and WGB Industries Inc.
21. Unless otherwise stipulated, the customer will accept ten percent (10%) over or under the quantities specified on the purchase order. However, WGB Industries
Inc. is to try at all times to furnish as near exact quantity specified as operation conditions will permit.
22. If the customer requires special production services to secure unusual deliveries, an extra charge will be made. Patterns and Core Box Equipment
23. The customer must supply pattern and core box equipment in condition to produce economically the quality and quantity of parts required.
24. WGB Industries Inc. is not responsible for variations existing between blue prints and pattern and core box equipment supplied by the customer. If specifically requested by the customer, WGB Industries Inc. will check patterns and core box equipment with blue prints at the customers expense.
25. All patterns, core boxes and loose pieces thereof furnished by the customer should be marked properly for identification.
26. Follow boards, core driers and similar devices when required, are to be furnished by the customer.
27. WGB Industries Inc. will make repairs and changes to patterns by the customers’ orders at expense of the customer.
28. All freight, drayage, boxing and crating on patterns, both to and from WGB Industries Inc. will be assumed by the customer.
29. WGB Industries Inc. does not include charges for chemical and physical test requirements, X-ray, Zyglo, etc. in quoted price.
These Terms and Conditions, as revised and updated on 2/18/25, supersede and replace all prior terms and conditions previously applicable to the subject
matter herein. In the event of any conflict between these Terms and any prior versions, the terms set forth in this latest revision shall govern.
